Introduction
These Terms & Conditions ("Terms") govern your use of the website and development services provided by XYLVIR Software Solutions ("XYLVIR", "we", "us", or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.
Development Services
Scope of Work
All development projects are scoped during a discovery phase and documented in a project agreement. The agreement defines deliverables, timeline, milestones, and payment terms. Work outside the agreed scope requires a separate change request with its own timeline and cost.
Project Workflow
Our standard workflow includes Discovery, Planning, Development, Testing, Launch, and Support phases. Each project includes 30 days of post-launch support for monitoring and fixes. Extended support is available through separate arrangements.
Payment Terms
Service projects are invoiced directly on a milestone basis as defined in the project agreement. Payment is due upon completion and approval of each milestone. Specific payment terms, schedules, and methods are outlined in individual project agreements.
Intellectual Property
Upon full payment, the client receives ownership of all custom deliverables created specifically for their project. XYLVIR retains the right to use general tools, methods, frameworks, and non-client-specific code developed during the engagement. Pre-existing intellectual property remains with its original owner.
Confidentiality
Both parties agree to keep confidential any proprietary information shared during the engagement. This includes business data, technical specifications, and project details. XYLVIR may reference the project in its portfolio (name, industry, general outcome) unless otherwise agreed in writing.
Acceptable Use
You agree not to:
- Use our services for any unlawful purpose.
- Attempt to gain unauthorized access to our systems.
- Use our services to build competing services.
Refunds
Client projects are invoiced on a milestone basis. Refund eligibility depends on the stage of work at the time of the request.
Before Work Begins
If a project is cancelled before any development work has started, a full refund of any advance payment will be issued.
In-Progress Milestones
For milestones currently in progress, a partial refund may be issued based on the proportion of work not yet completed. Completed milestones that have been delivered and approved are non-refundable.
Post-Delivery
After a milestone has been delivered and approved, it is considered complete and non-refundable. Every project includes 30 days of post-launch support for addressing bugs, issues, or adjustments within the original scope.
Quality Disputes
If you believe delivered work does not meet the agreed specifications, contact us within the 30-day post-launch support period. We will work with you to resolve the issue. If we cannot deliver the agreed scope, we will negotiate a fair resolution including a partial refund where appropriate.
How to Request a Refund
Contact us at info@xylvir.tech with your project details and the reason for your request. We will respond within 2 business days. Approved refunds are processed within 10 business days.
Limitation of Liability
To the maximum extent permitted by law, XYLVIR shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services.
Our total liability for any claim arising from a service engagement shall not exceed the total amount paid by the client for that specific project.
Termination
Either party may terminate a project engagement with written notice. Upon termination, the client is responsible for payment of all completed milestones and any work in progress up to the termination date. All completed deliverables will be handed over to the client.
Governing Law
These Terms are governed by the laws of the Republic of the Philippines. Any disputes arising from these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the appropriate courts.
Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. For active service engagements, changes to terms will not affect existing project agreements.
